AgentPortal Terms of Service

These Terms of Service (these “Terms”) set out the conditions under which TAF Studio (“we,” “us,” or “our”) provides the macOS software “AgentPortal” (the “Software”). By downloading, installing, or using the Software, you (the “User”) are deemed to have agreed to these Terms. If you do not agree, please do not use the Software.

0. Overview of the Software (background facts)

The provisions of these Terms assume the following technical facts.

1. Scope of the License

1.1 Grant of License

Subject to your compliance with these Terms, we grant you a non-transferable, non-exclusive license to use the Software within the following scope.

1.2 Trial Period

The Software provides a 14-day trial period during which you may evaluate its features before purchasing. To continue using the Software after the trial period ends, you must purchase it through Gumroad and activate it by entering a license key.

2. Intellectual Property Rights

The copyrights, trademarks, and other intellectual property rights in the Software belong to us or to the rightful rights holders. These Terms grant only a right to use the Software and do not transfer any intellectual property rights themselves.

Details of how the Software handles data (which files it reads, where it communicates, and where it stores data) are set out in the accompanying “AgentPortal Privacy Policy.” In summary:

4. Third-Party Software and Services

The Software works together with the following third-party software and services. These are outside our control, and each is governed by its own terms of service and privacy policy.

4.1 SwiftTerm (bundled open-source software)

The Software's terminal display is implemented using the open-source software “SwiftTerm” (MIT License). The copyright and permission notices required under the MIT License are provided on the Software's open-source license screen (or in an accompanying NOTICE file).

4.2 VOICEVOX

The Software's voice-notification feature is implemented by invoking “VOICEVOX,” a local voice-synthesis application that you choose to separately install and run, over local communication addressed to 127.0.0.1. The Software does not bundle any VOICEVOX voice data or synthesis engine. By default, notifications use the standard macOS voice. VOICEVOX character voices are a Japanese-locale feature: they can only be selected when AgentPortal is running in a Japanese system locale, and outside Japan the macOS system voice is always used.

VOICEVOX and each voice character are governed by their own terms of use and character-specific license conditions (for example, whether commercial use is permitted and any required attribution). If you enable and use these voice features, you are responsible for reviewing and complying with VOICEVOX's own terms of use.

4.3 Claude Code / Anthropic

The Software is an independent, third-party tool that reads local log files created by “Claude Code,” a product of Anthropic, PBC. The Software is not an official Anthropic, PBC product and is not affiliated with Anthropic, PBC. Use of Claude Code itself is governed by separate terms of service set by Anthropic, PBC.

4.4 Gumroad

Payment processing for the Software, and the issuance and verification of license keys, are handled through the third-party service “Gumroad.” Payment information you enter at purchase (such as your credit card number) is collected and managed solely by Gumroad; we neither hold nor process it. Gumroad's own terms of service and privacy policy apply separately.

5. Disclaimer of Warranties

The Software is provided “AS IS.” We make no warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, or completeness, or that operation will be uninterrupted.

The Software depends on the specifications of third-party software and operating systems beyond our control, including Claude Code, VOICEVOX, and macOS. Changes to their specifications, updates, or defects in them may cause some features of the Software to stop working.

You may evaluate the Software's features and operation during the 14-day trial period before purchasing. Accordingly, we do not offer refunds for buyer's remorse after purchase (except where a refund is required by applicable law).

If the Software fails to function at all due to a defect attributable to us, or in other cases where a refund is legally required, please contact us through the channel listed in “10. Governing Law, Jurisdiction, and Contact.”

Please note that the purchase process and payment are handled through Gumroad, so Gumroad's own terms and procedures may separately apply.

8. Suspension and Termination of License

We may provide updates to the Software to add features or fix defects, but we do not guarantee the timing or content of any such updates. Future updates may change or remove some features.

10. Governing Law, Jurisdiction, and Contact

These Terms are governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising in connection with these Terms or the Software.

11. Changes to These Terms

We may revise these Terms from time to time. If there is a material change, we will notify you through a Software update or an announcement on our website. If you continue to use the Software after a change takes effect, you are deemed to have agreed to the revised Terms.

These Terms have been prepared as a general practical summary and do not constitute legal advice from an attorney. Please consult a qualified attorney or other professional regarding the legal validity or adequacy of these Terms as applied to any specific case or contract.

13. Governing Language

This is an English translation provided for the convenience of non-Japanese-speaking users; the original is Japanese. In the event of any discrepancy or conflict between this English translation and the Japanese original, the Japanese original shall control, and Japanese law governs the interpretation of these Terms.

These Terms take effect as of August 12, 2026.
